Breaking News: BAMKO Acquires Tangerine Promotions

Florida-based Superior Uniform Group has announced that its division, BAMKO=
 (asi/131431), has acquired Top 40 distributor Tangerine Promotions (asi/34=
1609)=2E The deal, made public today, will close on December 1=2E According=
 to a press release, the purchase price =E2=80=9Cis subject to adjustment a=
nd consists of approximately $7=2E2 million in cash, the issuance of approx=
imately $2 million of Superior Uniform Group=E2=80=99s common stock that wi=
ll vest over a four-year period, the potential future payment of $5=2E5 mil=
lion in additional contingent consideration through 2021, and the assumptio=
n of certain liabilities=2E=E2=80=9D

=E2=80=9CThe acquisition of Tangerine by BAMKO represents an incredible lea=
p forward in the evolution of our company,=E2=80=9D said Philip Koosed, pre=
sident of BAMKO=2E =E2=80=9CSteve Friedman and his team at Tangerine have b=

Per the terms of the agreement, Tangerine will operate as a division of BAM=
KO going forward, servicing customers from its current locations in Chicago=
, Los Angeles and Orange County, CA=2E Tangerine principals Steve Friedman =
and Adam Rosenbaum will remain with the business and will continue to lead =
the Tangerine division=2E Additionally, Rosenbaum will take on a management=
 role with BAMKO=2E

=E2=80=9CIf one thing has become clear during this process, it=E2=80=99s th=

According to the acquisition statement, Tangerine=E2=80=99s 2017 revenues f=
or the year ending December 31 are projected to be approximately $36 millio=
n=2E Tangerine reported to Counselor that its 2016 North American promo pro=
ducts sales were $44=2E1 million, a year-over-year decline of 8=2E1% versus=
 2015=2E Not including the Tangerine deal, BAMKO=E2=80=99s annual promotion=
al product sales exceed $30 million=2E 

BAMKO has offices in the U=2ES=2E, England, China, India, and Brazil=2E The=
 Tangerine purchase is the second significant deal BAMKO has struck in rece=
